A service company with three stockholders developed a business plan comprised of two phases. During phase one, the founders would develop and test their product. Execution of phase two required them to take their product to market and prove it had sustainable growth. Challenge: The stockholders exhausted all of their funding during phase one. To successfully move to phase two, the company needed additional capital. The company had only been in business for three years and could not secure adequate bank financing. Solution: After an extensive review of the company's operations and business organization, we created a new business structure that allowed the company to have more stockholders. Additionally, we structured a private placement transaction to raise the necessary capital.
